Mr. Perron practices corporate and antitrust law, primarily with respect to matters involving mergers and acquisitions, technology outsourcing, product distribution and licensing. He recently co-authored with David L. Hayutin (Partner, Pillsbury Winthrop LLP) Distributing Foreign Products in the United States, published by Juris Publishing, Inc.

Mr. Perron has acted as general counsel to the eighteen Sanyo companies in the United States since 1987. Mr. Perron has advised various other Japanese corporations, including Mitsubishi Corporation, Dainippon Screen Mfg. Co., Ltd., Isuzu Motors Limited, Suntory Limited, Tokai Corporation and Tomy Kogyo Company, Inc., and their U.S. subsidiaries and affiliates, with respect to a variety of corporate and antitrust issues which have arisen in the context of mergers, acquisitions, joint ventures and product distribution in the United States. He regularly advises clients Textron, Inc., DirecTV, Inc., In-N-Out Burger Corporation and Sachs North America on corporate and commercial matters.

Most recently, he has represented Xerox Corporation in its acquisition of the color printing business of Tektronix, Inc. for approximately $1 billion, in its sale of its manufacturing operations to Flextronics International Ltd. For more than $200 million and in its entering into long-term supply arrangements with Flextronics that are valued at approximately $1 billion annually. Mr. Perron has also represented The IntraUSA Group, Inc. in its acquisition by Midtronics, Inc.; Bell Helicopter in its acquisition of the business of Carbide Technology, Inc.; Globe International, Inc. and Globe Communications Corporation in the sale of their publishing business to American Media Operations, Inc. for approximately $50 million; Baker Tanks, Inc. and its four affiliates in its sale to Hyatt Corporation for more than $100 million; and The Fourth Tier, Inc. in its acquisition by Keane, Inc. for more than $40 million. He has represented both issuers (including The IntraUSA Group, Inc., eMark Monitor Inc. and Right Source Partners) and investors (including Mitsubishi Corporation, Sanyo North America Corporation, Sanyo Semiconductor Corporation, and Saber Capital) in a wide range of private transactions involving equity and debt placements.

In addition, Mr. Perron has represented a number of financial institutions and other companies in connection with either the acquisition of computer systems or in the outsourcing of data processing or other requirements. In that regard, he has had principal responsibility for transactions for the Federal Home Loan Bank of San Francisco, Washington Mutual Bank, Union Bank of California, First Western Bank, Mitsubishi Bank, Valley Federal Savings & Loan Association, Marine National Bank, Broadway Federal Savings & Loan Association, Glendale Federal Bank, Frontier Alaska State Credit Union, Community Bank, First American National Bank, Kerlan-Jobe Orthopedic Clinic, Textron, Inc., Chevron Corporation and E.B. Bradley Company. These matters have included integrated system sales and acquisitions, custom software development, service bureau and other data, item or payroll processing outsourcing arrangements, software distribution and licensing arrangements, consulting agreements, joint purchasing arrangements and hardware and software maintenance agreements.

Mr. Perron has served for more than a decade as General Counsel to and as a member of the Executive Committee of the Board of Directors of the Japan America Society of Southern California. In addition, Mr. Perron is corporate secretary of DNS Electronics, LLC. In the past, he has served on the Franchise Legislation Committee of the California State Bar Association, on the Board of Directors of the Los Angeles Junior Chamber of Commerce and on the Board of Directors of the Asian Pacific American Legal Center. He is a member of the Japan Business Association of Southern California and the Japan American Community and Cultural Center.

Mr. Perron is currently a member of the Managing Board, the Partner Compensation Committee and the Los Angeles Office Management Committee of Pillsbury Winthrop LLP. He has also served the law firm as Chairman of the Partner Compensation Committee of Pillsbury Madison & Sutro in 1997 and 1998, as Vice Chairman in 1996, as Chairman of the Partner Compensation System Review Committee in 1996 and as a member of that Committee in 1999. He has also served on the Executive Committee of Pillsbury Madison & Sutro, as chairman of the Los Angeles Office Management Committee and as chair of the Los Angeles office business practice group.

Mr. Perron has participated as a speaker at seminars on loan documentation before the Institute for Financial Affairs, Inc., Tokyo, Japan; on doing business in the United States before The Japanese Institute of International Business Law, Inc., Tokyo, Japan; on United States export regulations sponsored by Price Waterhouse; and on antitrust aspects of mergers and acquisitions before the Technology Transfer Institute.
